Article III – ORDERING GOODS AND CONCLUSION OF THE PURCHASE AGREEMENT

8. Through distance sales, i.e. through the Seller's online shop known as the e-shop, or through the possibility of ordering goods by e-mail, telephone or SMS, the Seller offers the Buyer goods, in particular spare parts for passenger cars, commercial vehicles, motorcycles, semi-trailers and other related goods.

The Seller expressly informs the Buyer that, unless otherwise stated in the accompanying documentation for the goods, the goods sold by the Seller require professional installation, i.e. installation by a professionally qualified person, and are not intended for personal use. Installation of the goods by an unqualified person may result in damage to property and/or health.

9. The online shop (e-shop) is located on the Seller's website. Registration and login using the login details in accordance with the procedure specified on the website are required to conclude a Purchase Agreement through the e-shop.

If the Buyer is interested in purchasing goods through the e-shop, the Buyer selects the required goods in terms of quality and quantity by adding them to the so-called shopping cart. The purchase price including VAT is stated for each product offered to the Buyer (consumer).

The Buyer may place a binding order for all items in the shopping cart by clicking the “Order with obligation to pay” button.

The Order must contain at least the following information: the identification details of the Buyer, the name and specification of the selected goods, the quantity of goods, the exact delivery address and the method of payment of the total purchase price.

The Buyer is obliged to check each completed Order before submitting it to the Seller. The Seller shall confirm the Order without undue delay after receiving it by sending an e-mail. The Order confirmation shall contain a list of the goods, the purchase price, the payment due date, the payment method, shipping costs and the expected delivery date.

10. If the Buyer sends the Seller an Order by e-mail, telephone or SMS, the Purchase Agreement between the Seller and the Buyer is concluded upon confirmation of the Order by the Seller.

The delivery period is generally 48 hours (calculated in working days) from receipt of the Order, provided that the goods are in the Seller's stock at the time the Order is received.

If the delivery period is longer than 48 hours, the Seller shall inform the Buyer of the alternative delivery period. If the Buyer does not confirm the new delivery period, the Seller shall not be bound by the Buyer's Order.

11. Unless the Order sent to the Seller is cancelled within the period and under the conditions specified, in particular, in Article IV of these Terms and Conditions or in accordance with applicable law, each such Order shall be binding upon the Buyer.

The Order shall be binding upon the Seller only after the Seller has confirmed it to the Buyer, usually by e-mail. An automated e-mail acknowledging receipt of the Buyer's Order shall not be considered confirmation of the Order by the Seller.

12. Upon proper confirmation of the Order by the Seller, a Purchase Agreement is concluded between the Parties.

Article IV – CANCELLATION OR NON-CONFIRMATION OF AN ORDER

13. A Buyer who is a consumer is entitled to cancel any Order submitted to the Seller by e-mail or in person at the Seller's premises at any time before taking delivery of the goods from the Seller.

A Buyer who is an entrepreneur is not entitled to cancel an Order submitted to the Seller without the Seller's consent.

14. The Seller reserves the right not to confirm a received Order or to cancel an already confirmed Order for serious reasons, in particular if:

(i) the Seller does not have the requested goods in stock or is unable to obtain the requested goods for the Buyer in the required quantity and/or within the required period; and/or

(ii) the Buyer has any overdue financial obligation towards the Seller; and/or

(iii) the delivery address is located outside the territory of the Slovak Republic.

15. If the Buyer is an entrepreneur, the Seller shall also be entitled not to confirm or cancel an Order if:

(i) the Buyer is in default with the performance of any obligation arising from contracts concluded with the Seller; and/or

(ii) the Buyer has exceeded the credit limit set by the Seller; and/or

(iii) there are other justified reasons.

16. Cancellation of an Order by either Party or non-confirmation of an Order by the Seller shall result in the Order being cancelled from the beginning and shall not be binding upon the Parties. In such cases, the Seller shall not be liable to the Buyer for any potential damage.

Article V – DELIVERY OF ORDERED GOODS

17. For goods sold through the e-shop, the Seller indicates the availability of the goods for each product. Product availability means that, within the stated availability period, the Seller is able to deliver the goods to the Buyer.

However, the stated period is for information purposes only, and the Seller does not guarantee such availability unless the Seller confirms the Buyer's Order together with a delivery period.

18. For goods ordered by e-mail, telephone or SMS, the Seller shall inform the Buyer of the availability of the goods.

19. If the Buyer is an entrepreneur, the Seller shall fulfil its obligation to deliver the goods by:

(i) enabling the Buyer to collect the goods at the Seller's premises during opening hours, unless otherwise agreed by the Parties; or

(ii) sending the goods to the delivery address specified in the Order.

The Seller shall generally inform the Buyer of the dispatch of the goods approximately 24 hours before the planned delivery date.

20. If the Buyer is a consumer, the Seller shall fulfil its obligation to deliver the goods by:

(i) handing the goods over to the Buyer or a person designated by the Buyer; or

(ii) handing the goods over to a carrier designated by the Buyer; or

(iii) if the goods require installation by the Seller, the goods shall be deemed delivered only upon completion of the installation; or

(iv) if the goods contain digital elements, the goods shall be deemed delivered when the relevant digital content or digital service is made available to the Buyer.

21. Unless otherwise stated in the confirmed Order, the delivery period depends on the Seller's stock availability.

If the goods are in the Seller's stock, the Seller shall generally deliver the goods to the Buyer no later than 48 hours (calculated in working days) from receipt of the Order.

If the Buyer is a consumer, the Seller shall deliver the goods without undue delay and no later than 30 days from the date of conclusion of the Purchase Agreement, unless the Parties have agreed otherwise.

22. On the day on which the goods are to be handed over to the Buyer, the Buyer undertakes to ensure that the goods can be received from the Seller or the delivery provider arranged by the Seller without any obstruction.

23. If the Buyer is an entrepreneur, the Buyer is obliged to properly inspect the goods upon receipt, particularly their quality and quantity.

Any defects in the goods related to their receipt must be reported to the Seller or the carrier immediately upon receipt. The Seller may disregard defects related to delivery that are reported later.

If the Buyer is a consumer, the Buyer is obliged, before accepting the goods, to properly inspect whether the goods comply with the agreed and general requirements pursuant to Section 615 of the Civil Code.

24. If the Buyer is a consumer and the Seller fails to deliver the goods on time, the Buyer may withdraw from the Purchase Agreement without granting an additional reasonable period if:

(a) the Seller refused to deliver the goods;

(b) timely delivery was particularly important in view of all circumstances surrounding the conclusion of the Purchase Agreement; or

(c) the Buyer informed the Seller before concluding the Purchase Agreement that timely delivery was particularly important.

25. The Buyer is obliged to confirm receipt of the goods by signing the delivery note. If no delivery note is issued by the Seller, the Buyer shall confirm receipt of the goods by signing another document.

Article VI – PURCHASE PRICE AND PAYMENT TERMS

26. The total purchase price of the goods including VAT and other charges, in particular shipping costs, shall be displayed to a consumer in the e-shop before the Order is submitted to the Seller.

For goods ordered by e-mail, telephone or SMS, the Seller shall inform the Buyer of the purchase price.

27. The purchase price of the goods shall be displayed to an entrepreneurial Buyer in the e-shop before the Order is submitted to the Seller.

The total amount of other charges, in particular shipping costs, shall be displayed and/or charged to the entrepreneurial Buyer on the invoice and/or delivery note in accordance with the Seller's applicable price list.

28. The purchase price determined in this manner is final unless the Parties agree otherwise, for example in the event of a change to the Order after it has been confirmed by the Seller.

29. The Buyer is obliged to pay the Seller the purchase price for each ordered and accepted item of goods no later than on the day of receipt of the goods, unless the Parties have agreed otherwise in writing or by e-mail.

30. The Buyer may pay the purchase price using one of the payment methods offered by the Seller: payment card, bank transfer, cash payment at the Seller's premises or cash on delivery, or, if the Buyer is an entrepreneur, within the payment due date specified by the Seller on the invoice, unless the Seller determines otherwise.

31. The Seller may provide the Buyer with a discount in cases and under conditions of which the Buyer is properly informed, generally through the Seller's website, e-shop, advertising materials or by e-mail.

Article VII – CONSUMER RIGHTS ARISING FROM LIABILITY FOR DEFECTS

32. The Seller is obliged to deliver goods to the Buyer that comply with the agreed and general requirements pursuant to Section 615 of the Civil Code.

The goods do not have to comply with the general requirements if, at the time of conclusion of the Purchase Agreement, the Seller expressly informed the Buyer that a particular characteristic of the goods did not comply with the general requirements and the Buyer expressly and specifically agreed to such non-compliance.

33. The Seller shall be liable to the Buyer for any defect existing in the goods at the time of delivery and which becomes apparent within two years of delivery.

For used goods, the Seller's liability for defects shall apply for one year from delivery.

34. The Buyer may exercise rights arising from liability for defects only if the defect is reported within two months of its discovery, and no later than upon expiry of the two-year period from delivery of the goods, or, in the case of used goods, within one year of delivery.

35. A defect may be reported at any of the Seller's premises or by means of distance communication at the Seller's registered office:

MB Autodiely, s. r. o.
Pravotice 143
956 35 Pravotice

or by e-mail at [email protected].

36. The Seller shall provide the Buyer with written confirmation of the reported defect without undue delay after the defect has been reported.

The Seller shall state in the confirmation the period within which the defect will be remedied. This period shall not exceed 30 days from the date on which the defect was reported unless a longer period is justified by an objective reason beyond the Seller's control.

If the Seller refuses liability for the defect, the Seller shall inform the Buyer of the reasons for such refusal in writing.

37. The Buyer has the right to choose between remedying the defect by repairing the goods or replacing the goods.

The Buyer may not choose a method of remedy that is impossible or that would impose disproportionate costs on the Seller.

The Seller may refuse to remedy the defect if neither repair nor replacement is possible or if such remedy would require disproportionate costs.

38. For the purposes of repair or replacement, the Buyer shall hand over the goods to the Seller. The Seller shall bear the costs of taking over the goods.

The Seller shall deliver the repaired or replacement goods to the Buyer at the Seller's expense using the same or a similar method by which the Buyer delivered the defective goods, unless the Parties agree otherwise.

39. The Buyer has the right to a reasonable reduction in the purchase price or may withdraw from the Purchase Agreement without granting an additional reasonable period if:

a) the Seller has not repaired or replaced the goods;

b) the Seller has not repaired or replaced the goods in accordance with Section 623(4) and (6) of the Civil Code;

c) the Seller has refused to remedy the defect pursuant to Section 623(2) of the Civil Code;

d) the goods have the same defect despite repair or replacement;

e) the defect is of such a serious nature that it justifies an immediate reduction in the purchase price or withdrawal from the Purchase Agreement; or

f) the Seller has stated, or it is apparent from the circumstances, that the defect will not be remedied within a reasonable period or without causing serious difficulties to the Buyer.

40. The reduction in the purchase price must be proportionate to the difference between the value of the goods sold and the value the goods would have had if they had been free of defects.

41. The Buyer may not withdraw from the Purchase Agreement if the Buyer contributed to causing the defect or if the defect is insignificant.

If the Purchase Agreement concerns the purchase of several goods, the Buyer may withdraw from the Purchase Agreement only with respect to the defective goods.

42. After withdrawing from the Purchase Agreement or a part thereof, the Buyer shall return the goods to the Seller at the Seller's expense.

43. Following withdrawal from the Purchase Agreement, the Seller shall refund the purchase price to the Buyer no later than 14 days from the date on which the goods are returned to the Seller or the Buyer provides proof that the goods have been sent to the Seller, whichever occurs first.

44. The Seller shall refund the purchase price or pay the reduction in the purchase price using the same payment method used by the Buyer, unless the Buyer expressly agrees to another payment method.

All costs associated with the refund shall be borne by the Seller.

45. The Seller does not provide a consumer guarantee within the meaning of Section 626 of the Civil Code.

If the Seller provides a consumer guarantee beyond the statutory rights arising from liability for defects, such guarantee shall be provided in the form of a warranty certificate delivered to the Buyer together with the goods.

46. The Seller's liability for defects shall not apply in particular to:

(i) defects and damage caused by natural or mechanical damage;

(ii) defects caused by contamination or neglected maintenance;

(iii) defects caused by use of the goods under unsuitable conditions, including incorrect temperature, dust, humidity, chemical or mechanical influences;

(iv) defects caused by forced or violent damage;

(v) defects caused by failure to comply with the instructions for use;

(vi) defects caused by the use of components other than those recommended by the manufacturer;

(vii) defects known to the Buyer before receipt of the goods;

(viii) defects caused by improper installation;

(ix) defects caused by the use of procedures other than those specified by the vehicle manufacturer on which the part is installed;

(x) defects caused by installation of a part on a vehicle for which the part is not intended;

(xi) defects caused by improper operating conditions;

(xii) defects caused by normal wear and tear and the expected service life of the goods;

(xiii) other circumstances beyond the Seller's control;

(xiv) cases where the Buyer failed to check, before installation, the correctness, suitability and compatibility of the goods for their intended use.

47. Regardless of any other provision of the Purchase Agreement, deterioration of the characteristics of the goods caused by improper storage, installation or use of the goods shall not be considered a defect, nor shall normal wear and tear resulting from ordinary use or force majeure.

48. Further rights and obligations related to liability for defects in relation to consumer Buyers that are not regulated by these Terms and Conditions are governed by the Civil Code and the Consumer Protection Act.

Article VIII – RIGHTS ARISING FROM LIABILITY FOR DEFECTS APPLICABLE TO ENTREPRENEURS

49. The Seller is obliged to deliver the goods to the Buyer in the quantity, quality, specification and under the conditions stated in the confirmed Order.

50. The Buyer is obliged to report any quantity discrepancies or visible mechanical damage to the goods to the Seller no later than upon delivery and to record them in the document confirming delivery. Otherwise, the Buyer's claims arising from defects in the goods shall expire.

51. Any delay in delivery must also be recorded by the Buyer in the document confirming delivery. Otherwise, the Buyer shall not be entitled to claim any rights arising from delayed delivery.

52. The Seller shall be liable for defects in the goods, including hidden defects.

Defects that cannot be detected other than through use of the goods (hidden defects) must be reported by the Buyer to the Seller no later than 7 calendar days from discovery of the defect, and the Buyer must not continue to handle or use the goods. Otherwise, the Buyer's claims arising from defects shall expire.

53. The Seller does not provide the Buyer with a quality guarantee.

If the Seller provides a quality guarantee for a particular type of goods, such guarantee shall be provided by means of a separate warranty certificate for the specific goods, which shall be delivered to the Buyer together with the goods.

54. The Buyer's claims arising from defects in the goods are:

a) removal of defects in the goods (repair of the goods, delivery of replacement goods, delivery of missing goods, removal of legal defects);

b) replacement of the goods;

c) a reasonable reduction in the purchase price;

d) withdrawal from the Purchase Agreement.

55. The choice between the claims referred to in the preceding provision of these Terms and Conditions shall belong to the Seller.

If the defect cannot be remedied and prevents the goods from being properly used, the Seller shall be entitled to replace the goods with new goods.

56. The Seller's liability for defects shall not apply to:

(i) defects caused by natural or mechanical damage;

(ii) defects caused by contamination or neglected maintenance;

(iii) defects caused by unsuitable operating conditions;

(iv) defects caused by forced or violent damage;

(v) defects caused by failure to comply with the instructions for use;

(vi) defects caused by the use of components other than those recommended by the manufacturer;

(vii) defects known to the Buyer before receipt of the goods;

(viii) defects caused by improper installation;

(ix) defects caused by the use of procedures other than those specified by the vehicle manufacturer;

(x) defects caused by installation of a part on a vehicle for which it is not intended;

(xi) defects caused by improper operating conditions;

(xii) defects caused by normal wear and tear and the expected service life of the goods;

(xiii) other circumstances beyond the Seller's control;

(xiv) cases where the Buyer failed to check, before installation, the correctness and suitability of the goods for their intended use.

57. Regardless of any other provision of these Terms and Conditions, deterioration of the characteristics of the goods caused by improper storage, installation or use of the goods shall not be considered a defect, nor shall normal wear and tear resulting from ordinary use or force majeure.

58. In the event of an unjustified complaint, the Seller reserves the right to require the Buyer to reimburse reasonably incurred costs associated with handling such complaint, including, for example, assessment by a specialised institution, expert opinion, transport costs and similar expenses.

59. The Buyer is obliged to submit a complaint in writing, stating the reason for the complaint, the quantity and type of goods, the delivery note number and the invoice number.

The goods subject to the complaint must be stored separately from other goods and must not be used for further processing, installation or resale until the complaint has been resolved.

60. The Buyer is obliged to provide the Seller with all cooperation necessary to remedy defects in the goods.

In particular, the Buyer is obliged to transport the goods to a location designated by the Seller and to allow the Seller access to the goods.

61. If the goods are transported by a carrier who is a person other than the Buyer or Seller, the carrier shall be liable for damage caused during transportation.

In all other cases, the Buyer shall be liable for destruction or damage to the goods during transportation.

62. The Parties expressly agree that all claims of the Buyer against the Seller for damages shall be limited to 100% of the price of the goods excluding VAT specified in the individual Order in connection with which the damage occurred.

The Seller shall not be liable for any indirect or consequential damages or loss of profit.

Article IX – INFORMATION ON THE CONSUMER'S RIGHT TO WITHDRAW FROM A DISTANCE PURCHASE AGREEMENT

Right of withdrawal

63. The Buyer has the right to withdraw from this Purchase Agreement without giving any reason within 14 days.

or by e-mail to [email protected].

For this purpose, the Buyer may use the model withdrawal form provided by the Seller. Its use is not mandatory.

66. The withdrawal period shall be preserved if the Buyer sends the notice exercising the right of withdrawal before the withdrawal period expires.

67. Following withdrawal from the Purchase Agreement, the Seller shall refund all payments received from the Buyer in connection with the conclusion of the Purchase Agreement, including the cost of delivery of the goods to the Buyer.

This does not apply to additional costs resulting from the Buyer's choice of a delivery method other than the cheapest standard delivery method offered by the Seller.

The payments shall be refunded no later than 14 days from the date on which the Seller receives the Buyer's notice of withdrawal from the Purchase Agreement.

The refund shall be made using the same payment method used by the Buyer, unless the Buyer expressly agrees to another method of payment, without charging any additional fees.

68. The Seller may withhold the refund until the goods have been returned to the Seller's address or until the Buyer provides evidence that the goods have been sent back, whichever occurs first.

69. The Buyer shall send the goods back or deliver them to the Seller's premises:

The direct costs of returning the goods shall be borne by the Buyer.

70. The Buyer shall be liable only for any reduction in the value of the returned goods resulting from handling the goods in a manner other than that necessary to establish their nature, characteristics and functionality.
